James W. Scarrow PLLC (Washington, DC), established law practice in October 2012, focusing on development and finance of domestic and international infrastructure projects, with a focus on renewable energy transactions. See list of Transactions.
SunEdison (Beltsville, Maryland), Vice President / North American Legal (2008 – 2012)
Lead attorney for SunEdison’s North American business groups, with responsibility for negotiation and drafting of project agreements (including PPAs, EPCs, and REC Purchase Agreements), financing agreements, and purchase and sale agreements. Closed more than $1.5 billion in project finance solar transactions, with such major financial institutions as Wells Fargo, JPMorgan Chase, NordLB, MetLife, Union Bank, NorLease, PNC, Citibank, Bank of America, Rabobank, and De Lage Landen. Projects were located throughout the US, including in Arizona, California, Colorado, Connecticut, Florida, Hawaii, Maryland, Massachusetts, New Jersey, New Mexico, Ohio, Oregon, Pennsylvania, Puerto Rico, Texas, and Wisconsin.
Chadbourne & Parke LLP (Washington, DC), Counsel, Project Finance Group (1998 – 2008)
As a member of the firm’s project finance group, represented lenders, developers and investors in connection with project, lease and corporate financings, principally involving energy infrastructure assets. Drafted and negotiated loan agreements, security documents (including various forms of guarantees) and project agreements, including construction contracts, power purchase agreements, hedging agreements (relating to fuel, interest rate, and currency swaps) and operating agreements. Represented clients in acquisitions and divestitures of assets, project companies and holding companies.
